Welcome to EverEats! These Terms of Service ("Terms") govern your use of the EverEats website, app, and services (collectively, the "Service") operated by AurumSpire LLC ("we," "us," or "our").

By accessing or using EverEats, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Eligibility

You must be at least 13 years old to use EverEats. By using the Service, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

2. Your Account

When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Not share your account or transfer it to others
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or our Community Guidelines.

3. Your Content

You retain ownership of the content you post on EverEats ("Your Content"). However, by posting content, you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, and modify Your Content in connection with operating and providing the Service.

This license exists only for as long as your content remains on EverEats and ends when you delete your content or account, except where your content has been shared by others and they have not deleted it.

You represent and warrant that:

  • You own or have the necessary rights to Your Content
  • Your Content does not infringe any third party's rights
  • Your Content complies with these Terms and our Community Guidelines

4. Prohibited Conduct

You agree not to:

  • Violate any laws or regulations
  • Post content that infringes copyrights, trademarks, or other rights
  • Harass, abuse, or harm others
  • Post spam, malware, or deceptive content
  • Impersonate others or misrepresent your affiliation
  • Attempt to gain unauthorized access to the Service
  • Use automated means to access the Service without permission
  • Interfere with or disrupt the Service

5. AI Features and Automated Processing

EverEats uses artificial intelligence to enhance your experience. When you upload a photo, our system may automatically analyze the image to suggest a dish name. These AI-generated suggestions are presented as recommendations that you can accept, edit, or dismiss.

You acknowledge and agree that:

  • AI suggestions may be inaccurate and are provided on an "as is" basis
  • AI analysis is performed solely to identify food items in your photos and improve the Service
  • Your images are processed by third-party AI infrastructure (Cloudflare Workers AI) subject to their terms of service
  • You are not required to accept any AI-generated suggestion
  • AI-generated metadata (such as dish names) may be used to improve search, discovery, and categorization across the Service

6. Content Review and Metadata Corrections

To maintain the quality and accuracy of food-related data on EverEats, authorized reviewers (including our team members and designated community moderators) may review and update metadata associated with your posts, such as dish names, cuisine types, and food categories.

You acknowledge and agree that:

  • Reviewers may add, correct, or update dish names and other food-related tags on your posts
  • Reviewers will not modify your captions, photos, or other personal content
  • Metadata corrections are made to improve accuracy for search, discovery, and the overall community experience
  • Updated metadata may appear on your post and in public dish pages
  • You may override reviewer changes by editing your post at any time

Reviewers are bound by our internal policies and Community Guidelines. If you believe a metadata update is incorrect, you can edit your post directly or contact us at support@evereats.social.

7. Copyright and Intellectual Property

We respect intellectual property rights and expect our users to do the same. If you believe content on EverEats infringes your copyright, please contact us at legal@evereats.social with:

  • A description of the copyrighted work
  • The location of the infringing content on EverEats
  • Your contact information
  • A statement that you have a good faith belief the use is unauthorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

We will respond to valid copyright complaints and may remove infringing content and terminate repeat infringers.

8. Our Rights

We reserve the right to:

  • Remove or disable content that violates these Terms
  • Suspend or terminate accounts at our discretion
  • Modify or discontinue the Service at any time
  • Change these Terms with notice to users

9. Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT ENDORSE ANY CONTENT POSTED BY USERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURUMSPIRE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless AurumSpire LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Dispute Resolution

Informal Resolution: Before filing a formal dispute, you agree to try to resolve any dispute informally by contacting us at legal@evereats.social.

Arbitration: If we cannot resolve the dispute informally, any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Pennsylvania, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may bring a lawsuit in court for claims related to intellectual property infringement.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Termination

You may terminate your account at any time through the app settings. We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

17. General

These Terms constitute the entire agreement between you and AurumSpire LLC regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
